Single or additional conditions of use or access may apply in specific scenarios and, in such cases, are additionally indicated within this document or in a separate written agreement.

By using this Application, Users confirm that there are no restrictions on their use in terms of being Consumers or Business Users, unless a specific feature, offer, product, service, or legal requirement states otherwise.

1.4 Account Registration

Users may also use portions of the Service without registering or creating a User account; however, this may limit the availability of certain features or functions.

Suspension or deletion of User accounts does not entitle Users to compensation, damages, refunds, or reimbursement unless required by applicable law or a separate written agreement.

Suspension or deletion of an account for reasons attributable to the User does not relieve the User from paying any applicable fees, amounts owed, or contractual obligations.

Website content does not create a final construction contract, installation agreement, engineering commitment, permit obligation, product order, warranty, or binding sales agreement unless expressly incorporated into a separate written agreement signed or accepted by enVision Pergolas LLC.

Project-specific terms may vary based on location, site conditions, engineering requirements, permitting authorities, homeowner association requirements, access limitations, product availability, labor availability, shipping, and other factors.

1.12 Terms and Conditions of Sale

Paid Products and Services

  • The submission creates an obligation to pay the price, taxes, and any applicable fees, expenses, shipping charges, permit fees, engineering costs, installation charges, or other amounts specified;
  • If the purchased product or service requires active input from the User, the User must cooperate by providing accurate and timely information, approvals, access, documents, specifications, and decisions;

Prices

Users are informed during the purchasing process or in the applicable quote, proposal, invoice, or written agreement about any fees, taxes, and costs they will be charged, including delivery, installation, permit, engineering, or other charges where applicable.

Prices may be displayed either exclusive or inclusive of applicable fees, taxes, and costs depending on the section of the Website, quote, proposal, or agreement.

Methods of Payment

Some payment methods may be available subject to additional conditions, processing fees, limits, third-party terms, or approval.

Payments may be independently processed through third-party payment providers. enVision Pergolas LLC does not collect or store full credit card numbers through the Website unless expressly stated. We may receive confirmation once a payment has been successfully completed.

Until payment of the total purchase price and all amounts owed are received by enVision Pergolas LLC, any products, materials, components, drawings, documents, or deliverables ordered shall not become the User’s property unless a separate written agreement states otherwise.

Delivery

Deliveries are made to the address indicated by the User and in the manner specified in the order summary, quote, invoice, contract, or other applicable agreement.

Upon delivery, Users must inspect the delivery and report visible damage, shortages, or anomalies without undue delay using the contact details provided in this document or as described in delivery documents.

Users may refuse visibly damaged deliveries where permitted by applicable shipping or delivery procedures.

Goods are delivered to the countries, states, territories, or locations specified in the applicable section of the Website or written agreement.

Delivery times are estimates unless expressly guaranteed in writing. Delays may occur due to manufacturing, shipping, customs, port delays, weather, supply chain issues, labor availability, permitting, site readiness, force majeure, or other causes beyond our reasonable control.

Failed Delivery

enVision Pergolas LLC cannot be held responsible for delivery errors due to inaccurate, incomplete, inaccessible, or unsafe delivery information provided by the User, nor for damages or delays after handover to a carrier arranged by the User.

If goods are not received, accepted, or collected at the agreed time or within the applicable deadline, the goods may be returned, stored, rescheduled, or otherwise handled as reasonably necessary. Unless otherwise agreed, any additional delivery attempt, storage cost, handling cost, or related expense may be at the User’s expense.

1.13 Permits, Engineering, Site Conditions, and Installation

Where applicable, permits, engineering, inspections, surveys, homeowner association approvals, building department comments, site preparation, utility locating, access, concrete, footings, electrical work, drainage, and other project-specific requirements will be governed by the written proposal, contract, scope of work, and applicable law.

Unless expressly included in writing, Website content does not include or guarantee:

  • Permit approval;
  • Engineering approval in every jurisdiction;
  • Homeowner association approval;
  • Compliance with every local code, site-specific condition, or owner-requested modification;
  • Electrical, plumbing, drainage, landscaping, concrete, demolition, relocation, or other work outside the written scope;
  • Correction of pre-existing code violations, accessibility issues, site defects, title issues, survey issues, easement issues, setback issues, or owner-created conditions; or
  • Any governmental or third-party approval.

Users must provide accurate site information and cooperate in good faith with permitting, engineering, inspection, and installation requirements.

1.14 User Rights

Right of Withdrawal for European Consumers

Unless exceptions apply, Users who qualify as European Consumers may be eligible to withdraw from certain online or distance contracts within the period specified below, generally 14 days, for any reason and without justification.

Users who do not qualify as European Consumers cannot benefit from the right described in this section unless another applicable law grants similar rights.

Exercising the Right of Withdrawal

To exercise the right of withdrawal, European Consumers must send enVision Pergolas LLC an unequivocal statement of their intention to withdraw from the contract using the contact information provided in this document.

Users may use the model withdrawal form included in this document, but are not required to do so. To meet the deadline, Users must send the withdrawal notice before the withdrawal period expires.

When the Withdrawal Period Expires

For the purchase of goods, the withdrawal period expires 14 days after the day on which the User or a third party designated by the User, other than the carrier, takes physical possession of the goods.

For several goods ordered together but delivered separately, or for a single good consisting of multiple lots or pieces delivered separately, the withdrawal period expires 14 days after the day on which the User or a third party designated by the User, other than the carrier, acquires physical possession of the last good, lot, or piece.

Effects of Withdrawal

Users who correctly withdraw from a contract will be reimbursed for all payments made to enVision Pergolas LLC, including, where applicable, standard delivery costs.

Additional costs resulting from the User’s choice of a delivery method other than the least expensive standard delivery method offered by enVision Pergolas LLC will not be reimbursed.

Reimbursement will be made without undue delay and no later than 14 days from the day on which enVision Pergolas LLC is informed of the User’s decision to withdraw, unless applicable law permits withholding reimbursement until goods are received back or proof of return is supplied.

Unless otherwise agreed, reimbursement will be made using the same payment method used for the initial transaction.

Return of Physical Goods

Unless enVision Pergolas LLC offers to collect the goods, Users must send back or hand over the goods without undue delay and in any event within 14 days from the day on which they communicated their decision to withdraw.

The deadline is met if the goods are handed to the carrier before the expiration of the 14-day return period.

Users are liable for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics, and functioning of the goods.

The costs of returning goods are borne by the User unless applicable law or a written agreement states otherwise.

Exceptions to Withdrawal Rights

The right of withdrawal may not apply to certain products or services, including customized, made-to-order, fabricated, personalized, specially ordered, project-specific, installed, or partially performed products or services where applicable law permits an exception.

1.15 Legal Guarantee of Conformity for Goods

Under EU law, European Consumers may have a legal guarantee of conformity for goods for at least two years after delivery. This means that traders must ensure that goods have the promised quality or the quality, functionality, and characteristics that can reasonably be expected.

Where Users qualify as European Consumers, the legal guarantee of conformity applies in accordance with the laws of the country of their habitual residence. National laws may provide broader rights.

Consumers who do not qualify as European Consumers may benefit from legal guarantee, warranty, or consumer-protection rights in accordance with the law of their jurisdiction.

1.16 U.S. Users — Disclaimer of Warranties

This Application is provided strictly on an “as is” and “as available” basis. Use of the Service is at the User’s own risk.

To the maximum extent permitted by applicable law, enVision Pergolas LLC expressly disclaims all conditions, representations, and warranties, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, availability, or non-infringement of third-party rights.

No advice or information, whether oral or written, obtained by a User from enVision Pergolas LLC or through the Service creates any warranty not expressly stated in a written agreement.

Without limiting the foregoing, enVision Pergolas LLC does not warrant that:

  • Website content is always accurate, reliable, complete, or current;
  • The Service will meet Users’ requirements;
  • The Service will be available at any particular time or location, uninterrupted, secure, or error-free;
  • Defects or errors will be corrected;

  • Any indirect, punitive, incidental, special, consequential, exemplary, or enhanced damages;

  • Damages arising out of or related to the use of, or inability to use, the Service;
  • Hacking, tampering, unauthorized access, or unauthorized use of the Service, User accounts, or information;
  • Errors, mistakes, or inaccuracies of content;
  • Personal injury or property damage resulting from access to or use of the Service;
  • Unauthorized access to or use of secure servers or personal information stored therein;
  • Interruption or cessation of transmission to or from the Service;
  • Bugs, viruses, trojan horses, or similar harmful code transmitted through the Service;

This limitation applies regardless of legal theory, including contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if enVision Pergolas LLC has been advised of the possibility of damages.

Some jurisdictions do not allow certain exclusions or limitations. The limitations in this section apply only to the fullest extent permitted by law.

1.18 Indemnification

The User agrees to defend, indemnify, and hold harmless enVision Pergolas LLC and its subsidiaries, affiliates, members, managers, officers, directors, employees, agents, contractors, suppliers, vendors, licensors, partners, and representatives from and against any claims, demands, damages, obligations, losses, liabilities, costs, debts, and expenses, including legal fees and expenses, arising from:

  • User’s use of and access to the Service;
  • Any data, content, or information transmitted, submitted, or received by User;
  • User’s violation of these Terms;
  • User’s breach of any representation, warranty, or obligation;
  • User’s violation of third-party rights, including privacy or intellectual property rights;
  • User’s violation of any law, rule, regulation, ordinance, or order;
  • Content submitted from User’s account or using User’s credentials;
  • Misleading, false, inaccurate, incomplete, or unauthorized information provided by User;
  • User’s willful misconduct, negligence, fraud, or misuse of the Service; or
  • Third-party access using User’s account, username, password, device, or other security measure.

1.19 Australian Users

Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy that the User may have under the Competition and Consumer Act 2010 (Cth) or any similar State or Territory legislation that cannot be excluded, restricted, or modified.

To the fullest extent permitted by law, our liability to Australian Users, including liability for breach of a non-excludable right and liability not otherwise excluded under these Terms, is limited, at our sole discretion, to re-performance of the services or payment of the cost of having the services supplied again.

1.20 No Waiver

enVision Pergolas LLC’s failure to assert any right or provision under these Terms does not constitute a waiver of such right or provision.

No waiver is a further or continuing waiver of such term or any other term.

1.21 Service Interruption

To ensure the best possible service level, enVision Pergolas LLC reserves the right to interrupt the Service for maintenance, system updates, security, operational needs, or any other changes, with appropriate notice where reasonable.

Within the limits of law, enVision Pergolas LLC may suspend, restrict, or terminate the Service altogether. If the Service is terminated, enVision Pergolas LLC will cooperate with Users as required by applicable law regarding access to or deletion of personal data.

The Service may be unavailable due to reasons outside our reasonable control, including labor actions, infrastructure breakdowns, internet outages, cyberattacks, hosting failures, telecommunications failures, power outages, weather events, natural disasters, governmental action, war, terrorism, supply chain disruption, or other force majeure events.

1.22 Service Reselling

Users may not reproduce, duplicate, copy, sell, resell, license, exploit, or commercially use any portion of this Application or the Service without enVision Pergolas LLC’s express prior written permission, granted directly or through a legitimate written reseller, dealer, or partner program.

1.24 Changes to These Terms

If Users do not wish to be bound by revised Terms, they must stop using the Service.

1.25 Assignment

enVision Pergolas LLC may transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms, taking Users’ legitimate interests into account.

Users may not assign or transfer their rights or obligations under these Terms without written permission from enVision Pergolas LLC.

1.27 Severability

U.S. Users

Any invalid or unenforceable provision will be interpreted, construed, and reformed to the extent reasonably required to render it valid, enforceable, and consistent with its original intent.

These Terms constitute the entire agreement between Users and enVision Pergolas LLC with respect to the subject matter of this Website and supersede prior communications between the parties regarding such subject matter, except for signed proposals, invoices, contracts, order forms, warranty documents, change orders, or other written agreements that expressly govern a specific transaction.

EU Users

Should any provision of these Terms be or be deemed void, invalid, or unenforceable, the parties shall do their best to find an amicable agreement on valid and enforceable provisions that substitute the void, invalid, or unenforceable parts.

If no agreement is reached, the void, invalid, or unenforceable provisions shall be replaced by applicable statutory provisions where permitted or required by applicable law.

The invalidity of a particular provision shall not nullify the entire Agreement unless the severed provision is essential to the Agreement or the remaining provisions would create unacceptable hardship for either party.

1.28 Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where applicable consumer protection law provides otherwise.

Exception for European Consumers

If the User qualifies as a European Consumer and has habitual residence in a country where the law provides for a higher consumer protection standard, such higher standards shall prevail where required by law.

1.29 Venue and Jurisdiction

To the maximum extent permitted by law, the exclusive venue for any dispute arising out of or connected to these Terms, the Website, or the Service shall be the state or federal courts located in Florida, United States, in the county where enVision Pergolas LLC maintains its principal place of business or where venue is otherwise proper under applicable law.

Exception for European Consumers

The above venue provision does not apply to Users who qualify as European Consumers, nor to Consumers based in Switzerland, Norway, Iceland, or any jurisdiction where such limitation is prohibited by law.

1.30 Dispute Resolution and Amicable Resolution

Users may bring disputes to enVision Pergolas LLC by contacting us at the email address provided in this document. We will attempt to resolve disputes amicably where appropriate.

Users may submit a complaint including a brief description and, if applicable, details of the related order, purchase, account, or communication.

We will process complaints without undue delay and generally within 21 days of receiving them where reasonably possible.

Nothing in this section limits any User’s rights that cannot be waived under applicable law.
